1. Acceptance of Terms

By accessing ecomifyventures.com or purchasing any services from Ecomify (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not use our website or services.

We may refuse service to any person or entity, at any time, to the extent permitted by law.

2. Services

2.1 Scope of Work

Ecomify provides ecommerce brand strategy, setup, and execution support. The specific scope, timeline, deliverables, and commercial terms for each project will be set out in the applicable onboarding agreement or service proposal.

2.2 Client Responsibilities

You are responsible for providing, on time, all required assets, approvals, access credentials, and third-party operating capital, including but not limited to ad spend, inventory costs, and software subscriptions.

Delays caused by the client do not suspend payment obligations. If client delays exceed fourteen (14) days, the project may be paused and a reactivation fee may apply.

2.3 Suspension and Termination

We may suspend or terminate an engagement if a client becomes unresponsive, breaches these Terms, or materially interferes with the project.

If termination results from client breach, no refund will be issued, and any unpaid amounts for work performed or committed services shall become immediately due and payable.

2.4 Fees and Refunds

All payments are non-refundable to the maximum extent permitted by applicable law.

2.5 Intellectual Property and Asset Transfer

Ownership and usage rights in delivered project assets transfer only after full payment of all amounts due for the applicable project phase has been received and cleared.

3. Results Disclaimer

3.1 No Guarantee of Results

Ecomify provides frameworks, systems, and strategic execution. We do not guarantee revenue, profit, conversion rates, business growth, or any specific commercial outcome.

3.2 Assumption of Risk

You acknowledge that ecommerce and brand development involve inherent business risk. Outcomes depend on execution, market conditions, capital management, and other variables outside our control. Ecomify is not responsible for financial loss, failed launches, or operational decisions made by the client.

3.3 Third-Party Infrastructure

Our services may rely on third-party platforms, software, and infrastructure, including but not limited to Shopify, payment processors, and application providers. Ecomify is not liable for outages, policy changes, suspensions, data loss, or other failures caused by third parties.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Ecomify, including its founders, employees, and contractors, shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.

In all cases, our total liability for any claim arising out of a specific project shall not exceed the amount actually paid by you to Ecomify for that specific project phase.

Any business losses, operating debts, or downstream commercial outcomes remain the sole responsibility of the client.

5. Indemnification

You agree to indemnify, defend, and hold harmless Ecomify, including its founders, employees, and contractors, from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • your misuse of our services;
  • your breach of these Terms;
  • your violation of any law or regulation;
  • your infringement of any third-party rights, including intellectual property or consumer protection laws relating to products or services you sell.

6. Payments and Financial Terms

6.1 Billing

All fees must be paid in full upfront, or according to the milestone schedule specified in the applicable agreement, before work begins or any deliverables are released.

6.2 Chargebacks and Payment Disputes

Any unjustified chargeback, reversal, or payment dispute constitutes a material breach of these Terms and may be pursued through formal legal and recovery processes.

7. Governing Law and Jurisdiction

These Terms of Service and any separate agreement through which we provide services shall be governed by and interpreted in accordance with the laws of Maharashtra, India.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Maharashtra, India.

8. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No waiver of any provision shall be deemed a further or continuing waiver of that provision or any other provision.

These Terms constitute the entire agreement between the parties regarding the subject matter herein and supersede prior understandings or representations relating to the same subject matter.
